Premier Utils — Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Premier Utils (the “Bot”), including any related commands, features, integrations, websites, dashboards, documentation, and services (collectively, the “Services”). The Bot is made available by the operator(s) of Premier Utils (“we,” “us,” or “our”).
By inviting the Bot to a Discord server, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Important: The Services are provided “AS IS” and “AS AVAILABLE.” We make no warranties and assume no liability to the maximum extent permitted by law.
1. Eligibility and Authority
- Age and Legal Capacity. You must have the legal capacity to accept these Terms. If you are under the age of majority where you live, you may only use the Services with permission of a parent/guardian (and they are responsible for your use).
- Server Authority. If you add the Bot to a server, you represent that you have sufficient permissions (e.g., “Manage Server” or equivalent) to do so and to configure the Bot within that server.
- Compliance with Discord Terms. You must comply with Discord’s applicable terms, rules, and policies while using the Services.
2. Definitions
- “User” means any person who interacts with the Bot.
- “Server” means a Discord server (“guild”) where the Bot is present.
- “Content” means text, images, files, commands, configuration data, logs, and any other information processed through the Services.
- “Premium Features” means any paid or enhanced features, if offered.
3. Scope of Services
- Functionality. Premier Utils provides utility features intended for Discord server management, automation, moderation support, and/or convenience features. Exact features may change over time.
- Command Execution. The Bot may perform actions based on user commands or server configuration, including administrative actions if granted permissions by server administrators.
- Third-Party Integrations. Some features may rely on third-party services, APIs, or platforms. Your use of those services is governed by their separate terms, and we are not responsible for them.
4. Changes to the Services and Terms
- Service Changes. We may modify, update, suspend, or discontinue any part of the Services at any time, with or without notice.
- Terms Changes. We may update these Terms from time to time. Continued use after changes become effective constitutes acceptance of the updated Terms.
- Version Control. The “Last Updated” date indicates the latest revision. You are responsible for reviewing these Terms periodically.
5. Privacy and Data Handling (High-Level)
Your use of Premier Utils may involve processing certain data needed to operate the Bot. While a separate Privacy Policy may exist, the following applies at minimum:
- Operational Data. The Bot may process:
- Discord IDs (user, server, channel, role)
- Command usage and timestamps
- Server configuration settings
- Moderation-related metadata (e.g., warnings, mutes) if the Bot provides such features
- Logs necessary for debugging, abuse prevention, and performance monitoring
- Message Content.
- By default, the Bot generally only processes message content needed to respond to commands, features, or moderation triggers.
- If you enable features requiring content scanning/logging, you acknowledge the Bot may process relevant message content for that feature.
- Data Retention. We may retain data only as long as reasonably necessary for operation, compliance, security, and dispute handling, unless a longer period is required or permitted by law.
- Data Deletion. Where feasible, server administrators may remove the Bot to stop future data processing. Some stored configuration or logs may persist for a limited time in backups or operational systems.
- Security. We use reasonable measures to help protect data, but cannot guarantee absolute security.
6. Permissions and Security Responsibilities
- Bot Permissions. You are responsible for configuring the Bot’s permissions appropriately. If you grant administrative permissions, the Bot may be able to:
- Manage roles/channels
- Delete messages
- Timeout/mute/kick/ban users (if supported and configured)
- Administrator Responsibility. Server owners/admins are responsible for:
- Bot configuration
- Role assignments and permission scopes
- Ensuring the Bot is used in compliance with law and server rules
- No Guarantee of Correct Actions. Automated actions may produce unintended outcomes due to configuration errors, Discord API changes, user misuse, or bugs.
7. Acceptable Use
You agree not to use the Services to:
- Break Laws or Rights. Violate any applicable law or regulation, or infringe intellectual property, privacy, or other rights.
- Abuse or Harass. Harass, threaten, defame, impersonate others, or facilitate abuse.
- Exploit or Harm Systems. Attempt to hack, reverse engineer, disrupt, overload, or bypass any security feature of the Services or related systems.
- Malicious Automation. Use the Bot to spam, raid, mass-mention, or perform disruptive automation, including generating excessive requests to Discord or third parties.
- Circumvent Restrictions. Evade enforcement actions, access controls, rate limits, or feature restrictions.
- Unauthorized Data Collection. Use the Bot to collect or store personal data in violation of Discord policies, applicable law, or these Terms.
We may investigate and take action (including suspension) for suspected violations.
8. User Content and Server Content
- Your Responsibility. You are responsible for Content you submit, configure, or cause the Bot to process (including commands and configuration).
- Licenses You Grant. You grant us a limited, non-exclusive license to process Content solely to provide, maintain, and secure the Services.
- No Ownership Transfer. We do not claim ownership over your Content. These Terms only grant the rights needed to operate the Services.
9. Moderation and Administrative Features
- Tools, Not Guarantees. Any moderation tools are provided as a convenience. We do not guarantee they will detect or prevent rule-breaking behavior.
- False Positives/Negatives. Automated systems can produce errors. You accept the risk that users may be incorrectly flagged or not flagged.
- Audit and Logging. Some features may create logs for traceability (e.g., moderation actions). Administrators are responsible for how they use and disclose logs.
10. Premium Features (If Offered)
If Premier Utils offers Premium Features:
- Fees and Billing. Fees, billing cadence, and included features will be provided at the time of purchase.
- No Guarantee of Availability. Premium Features may be changed or discontinued.
- Refunds. Unless otherwise required by law or explicitly stated at purchase, fees are non-refundable.
- Chargebacks and Fraud. We may suspend access for suspected fraud or chargebacks.
11. Intellectual Property
- Our IP. The Services, including the Bot’s code, branding, and documentation, are owned by us or our licensors and are protected by applicable laws.
- Limited License to You. We grant you a revocable, non-transferable, non-exclusive license to use the Services for their intended purpose, subject to these Terms.
- Feedback. If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation.
12. Suspension and Termination
- Termination by You. You may stop using the Services at any time by removing the Bot from your server and discontinuing interaction.
- Termination by Us. We may suspend or terminate access (for a server, user, or globally) at any time, with or without notice, including for:
- Violations of these Terms
- Risk to the Services, Discord, users, or third parties
- Legal or regulatory requirements
- Effect of Termination. Upon termination:
- Your license to use the Services ends immediately
- The Bot may stop functioning in your server
- Certain data may be deleted or retained as described in these Terms and any Privacy Policy
13. Disclaimers (No Warranties)
To the maximum extent permitted by law:
- AS IS / AS AVAILABLE. The Services are provided “AS IS” and “AS AVAILABLE.”
- No Warranties. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or trade usage.
- No Guarantee of Uptime or Accuracy. We do not guarantee that the Services will be uninterrupted, timely, secure, error-free, or accurate.
- Security Disclaimer. We do not warrant that the Services or servers are free of viruses or harmful components.
- Third-Party Disclaimer. We are not responsible for third-party services (including Discord outages, API changes, moderation actions by Discord, or other integrations).
14. Limitation of Liability (No Liability)
To the maximum extent permitted by law:
- No Indirect Damages. We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business interruption.
- No Liability for Server/Moderation Outcomes. We are not liable for:
- Misconfigured permissions
- Accidental deletions, role changes, timeouts, kicks, bans
- Moderation errors or failures
- User disputes, harassment, or illegal conduct in any server
- Cap on Liability. If liability cannot be fully disclaimed, our total liability for any claim arising out of or relating to the Services will not exceed the greater of:
- The amounts you paid us (if any) for the Services in the three (3) months before the event giving rise to the claim, or
- $10 USD
- Allocation of Risk. You acknowledge that these limitations reflect a reasonable allocation of risk and form an essential basis of the bargain.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless us and our affiliates, operators, and contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your use of the Services
- Your Content
- Your server configuration and permissions granted to the Bot
- Your violation of these Terms
- Your violation of any law or third-party rights
16. Dispute Resolution and Governing Law
- Informal Resolution. Before filing a formal claim, you agree to attempt to resolve disputes informally by contacting us through our official support channel(s) if provided.
- Governing Law. These Terms are governed by the laws of the jurisdiction in which the Bot operator is based, excluding conflict-of-law principles, unless otherwise required by applicable law.
- Venue. Any legal action must be brought in the competent courts of that jurisdiction, unless otherwise required by applicable law.
17. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
18. No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
19. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
20. Entire Agreement
These Terms (and any referenced policies, such as a Privacy Policy if published) constitute the entire agreement between you and us regarding the Services and supersede any prior or contemporaneous agreements or communications.
21. Contact
For support, abuse reports, or legal inquiries, contact the Premier Utils operator via the official support method provided with the Bot (e.g., support server, website, or documentation). If no contact method is provided, removal of the Bot from your server is the primary method to discontinue use.
22. Additional Server Admin Notice (Recommended)
If you are a server owner/admin, you are encouraged to post a brief notice to your members that Premier Utils is used in your server and may process certain data (IDs, command usage, and configuration) for operational purposes.
